Legal and Regulatory Due Diligence Consultant
Assess the company's legal standing, corporate governance framework, regulatory compliance status, contractual obligations, and legal risks.
Responsibilities
- Corporate Governance Review: Review shareholder structure, assess Board effectiveness, examine governance policies, and review statutory records and filings.
- Contracts and Agreements Review: Review Joint Venture Agreements, Production Sharing Contracts, Farm-in/Farm-out Agreements, supplier and service contracts, and financing agreements.
- Regulatory Compliance Review: Assess compliance with industry regulations, review licence and permit status, environmental and HSE obligations, and host community commitments.
- Litigation and Claims Review: Assess pending litigation, arbitration matters, contingent liabilities, and regulatory sanctions and compliance breaches.
Requirements
- Qualified Legal Practitioner
- Minimum 10 years post-call experience
- Strong oil and gas regulatory experience
- Experience in corporate restructuring and M&A transactions
